INC. BECOMES FIRST PUBLICLY-TRADED COMPANY DEDICATED TO LOW CARB
FOODS
Market Leadership Is 'Goal' With Low Carb Creations(TM)
Los Angeles, Calif. - Oct. 5, 2004 - As
part of its strategy to become the nation's leading supplier of
low carb foods and beverages, Sunset Brands Inc. today announced
it has completed the acquisition of Vancouver, Wash.- based Low
Carb Creations(TM) Inc., one of the nation's premier low carb
food manufacturers. Concurrently, Sunset Brands announced it has
merged with a publicly-traded corporation to form a new public
company that will initiate trading on the Over-the-Counter Bulletin
Board.
With the two transactions complete, Sunset Brands today became
the first low carb-dedicated company in the United States to trade
its stock publicly. To sustain its category leadership position,
the company says it plans to continue acquiring reduced carb specialty
food manufacturers.
"Adding Low Carb Creations' leading-edge product portfolio
and founder Linda Langdon's low carb market expertise to the Sunset
Brands family is another step in our strategy to build what the
industry lacks - a category leader with great tasting, low carb
foods," said Todd Sanders, Sunset Brands' CEO.
According to Sanders, one of the attractions that drew Sunset
Brands to Low Carb Creations(TM) was Langdon's reputation as a
low carb lifestyle spokesperson throughout the industry. He noted
that Langdon's innovative approach to developing great tasting,
honestly labeled low carb products was what solidified the relationship.
"She doesn't follow the industry mold of producing bland
tasting bars and mixes. Her cheesecakes, cookies, pasta products
and other foods are delicious and deserve the national distribution
and promotion that Sunset Brands will provide."
Under Langdon's leadership, Low Carb Creations(TM) launched into
the low carb world in 2002 with its line of delectable desserts
and beverages, quickly generating $4.2 million in sales and finishing
its first year with a healthy profit. The company has since added
a line of savory entrees that are showing significant growth potential.

Industry sources note that while the exponential growth of low
carb product sales may have slowed this year, the nation's carb-cutting
trend is still going strong. In its August 2004 Times and Trends
report, titled "Carb- Cutting Shoppers," Information
Resources Inc. (IRI) noted that an estimated 26 million Americans
are on a low carb diet and some 70 million are informally
limiting their carbohydrates intake. IRI, a global provider of
market content and analysis, said in its report that sales of
naturally low carb product categories are up 5.8 percent in the
52-week period ending 6/13/04, outpacing the 1.7 percent rise
in total food and beverage sales.
Research demonstrating the effectiveness of low carb diets on
weight loss has helped drive consumer demand, boosting product
sales from non- existent a decade ago to $1.2 billion in 2004
(Nutrition Business Journal). At on-line sites, retail grocers,
specialty outlets, fast food restaurants, health food stores and
restaurant chains, the demand for low carb products is
helping to drive the transition from a popular fad to a mainstream
lifestyle.
Sunset Brands' Sanders said his company's goal is to aggregate
a select group of specialty low carb manufacturers like Low Carb
Creations(TM) to be the brand of choice for the millions who want
to enjoy a more wholesome, healthy lifestyle. "By integrating
several top-quality brands, establishing partnership programs
with leading retailers and maximizing our cost
efficiencies, we hope to achieve economies of scale necessary
